Corporate Our corporate group provides a full breadth of legal services to meet the corporate needs of our business clients, from emerging start-ups to well-established businesses to foreign companies seeking a U.S. presence. These services include corporate formation and restructuring; joint ventures; strategic alliances; employment agreements; business acquisitions and sales; stock option plans; understandings among equity holders; venture capital; and purchases and sales of securities.
Intellectual Property Our intellectual property group assists clients in protecting confidential information and trade secrets, in searching, registering, maintaining and licensing trademarks and copyrights, and in prosecuting and defending infringement claims. The group also handles a wide range of matters relating to software and other technology development and licensing arrangements, and is well-versed in legal matters relating to the Internet.
Real Estate Our real estate practice serves clients in all aspects of commercial and residential real estate transactions, including the purchase and sale of real property, the negotiation of leases, mortgage refinancings and condominium and cooperative offerings and conversions.
Commercial and Finance Our commercial and finance practice encompasses a broad range of commercial matters. This group assists clients in drafting, reviewing and negotiating an array of contracts relating to commercial transactions and financing, including loan agreements and related financing documents, supply agreements and distributorships.
Litigation Our litigation practice reflects the wide range of challenges that confront diverse businesses in today's environment. We have extensive experience in securities litigation, RICO, intellectual property disputes, shareholder rights and derivative litigation, employment issues, antitrust, UCC litigation, fiduciary obligations (of investment bankers, brokers and other fiduciaries), international law, constitutional law, civil rights law, real estate and many other kinds of commercial and private disputes. We practice in both the federal and state courts across the United States, and regularly travel abroad to meet our clients' needs. In addition to the traditional court systems, we are familiar with a variety of methods of alternative dispute resolution, and where appropriate can guide parties toward creative and helpful solutions to their problems.
Tax Our business tax group has developed a special expertise in handling tax planning for a wide variety of sophisticated transactions and other tax matters having federal, state, local and foreign tax implications, and work closely with the other practice groups within the firm in exploring and advising them with respect to any tax issues that may arise in connection with their matters. We have extensive experience with respect to tax ramifications relating to corporations, partnerships, limited liability companies and joint venture arrangements; taxable and tax-free reorganizations, liquidations, mergers and acquisitions; federal, state and local civil and criminal tax controversies; executive compensation arrangements, including stock options and other stock-based plans; taxation of tax-exempt and philanthropic organizations; taxation of financial instruments and products; charitable giving; strategic state and local tax savings opportunities; taxation of real estate transactions; tax shelters; foreign tax matters; income taxation of trusts and estates and income tax aspects of estate planning.
